Bawag Acquires PTSB in €1.6 Billion Deal, Shareholders Approve Transaction.

The shareholders of Permanent TSB (PTSB) in Ireland have largely backed a significant €1.6 billion acquisition deal by Austria’s Bawag Group. An overwhelming 91% of the shareholders voted in favor, pushing the deal closer to completion. The acquisition, however, still needs the green light from both the Irish High Court and the European Central Bank before it can be finalized.

According to the PTSB board, a thorough sales process was conducted prior to advocating for Bawag’s offer. The proposed purchase price of €2.97 per share represents nearly double the value of PTSB’s shares before the initiation of the sale process. This substantial premium was a key factor in the board’s decision to recommend the deal to shareholders, highlighting the financial attractiveness of Bawag’s proposal.

Ireland’s Finance Minister, Simon Harris, also expressed his backing for the transaction, adding a layer of governmental support to the deal. Despite this endorsement, some shareholders voiced their opposition, arguing that the offer undervalues the bank and lamenting the potential loss of Irish ownership. However, the proposal’s approval by a significant majority ensures its advancement to the next stage.

To proceed, the acquisition must secure regulatory approval, with the Irish High Court and the European Central Bank set to review the details of the transaction. The necessary 75% shareholder approval threshold was comfortably surpassed, enabling the deal to progress beyond the shareholder vote.
